OptiMark Holdings, Inc., a Delaware Corporation, is the corporate entity, business interests of OptiMark, Inc., it's wholly owned operating subsidiary holding all of the business interests of the OptiMark family of companies. It is the entity that our shareholders are invested in, and through which all the assets of our various businesses are owned. It has two major subsidiary business interests today: OptiMark and OptiMark US Equities. OptiMark Holdings has its roots in OptiMark Technologies, Inc. which was founded in 1996 as a privately held corporation dedicated to improving the current structure of the securities markets. OptiMark Technologies, Inc. developed and operated computer-based trading systems that increase the efficiency and reduced the cost of securities trading. The predecessor to OptiMark Technologies, MJT Holdings, was founded by William A. Lupien in 1988. The demand for the OptiMark® trading system in business-to-business markets globally, as well as in securities markets, resulted in the formation of OptiMark Holdings.
